These Terms of Service (“SiteWorks Terms”) apply to access to, deployment of, and use of SiteWorks, a software platform provided by Ultrabrand (“Ultrabrand”, “we”, “us”, or “our”).
These SiteWorks Terms supplement Ultrabrand’s general Terms of Service. By ordering, accessing, or using SiteWorks, the customer, installer, organization, and its authorized users (“Customer”, “you”, or “your”) agree to these SiteWorks Terms and to Ultrabrand’s general Terms of Service. If there is a conflict concerning SiteWorks between these SiteWorks Terms and the general Terms of Service, these SiteWorks Terms control. A signed proposal, order, or other written agreement may contain additional or different terms; where it expressly conflicts with these SiteWorks Terms, the expressly agreed written provision controls.
1. SiteWorks Platform
SiteWorks is a standardized software platform designed to support installer business operations and related digital workflows. Depending on the applicable deployment, subscription, or order, SiteWorks may include a branded and CMS-controlled frontend website, business backend, CRM functions, project and customer management, forms, workflows, automations, triggered communications, reporting, estimation or assessment tools, integrations, AI-assisted functions, and other platform features.
SiteWorks is a software product and platform. It is not, merely because it includes a branded frontend, a commitment by Ultrabrand to provide unlimited or ongoing bespoke website development, advertising services, marketing consultancy, conversion optimization, or custom software development.
Features may vary by deployment, plan, version, configuration, territory, or applicable order.
2. Meaning of Setup, Deployment and Configuration
Unless an applicable written proposal expressly states otherwise, terms such as “SiteWorks setup”, “deployment”, “implementation”, “configuration”, “brand implementation”, “copy adaptation”, “code adjustment”, “automation setup”, “CRM setup”, “technical setup”, “testing”, “migration”, or similar language mean the work reasonably required to configure, adapt, brand, test, and deploy the then-current SiteWorks platform for the Customer.
Such terms do not constitute a commitment to create a bespoke software product or independently designed custom website architecture.
In particular, references to code adjustments or adaptations mean adjustments reasonably required for the agreed SiteWorks deployment. They do not create an open-ended obligation to perform future structural modifications, develop new features, redesign user journeys, alter the platform architecture, or adapt SiteWorks to future marketing initiatives.
3. Scope of a SiteWorks Deployment
The deliverables included in a SiteWorks deployment are limited to those expressly identified in the applicable proposal, order, or written agreement.
Unless expressly included in writing, a SiteWorks deployment does not include:
bespoke advertising or acquisition strategy;
advertising campaign planning, creation, configuration, management, or optimization;
campaign-specific conversion strategy or funnel design;
bespoke campaign landing pages or microsites;
ongoing website redesign or structural optimization;
ongoing conversion-rate optimization;
marketing creative production;
CRM strategy beyond the platform configuration expressly included;
campaign-specific lead nurturing or marketing automation;
ongoing copywriting, content creation, or content management;
search advertising, paid social, media buying, or audience targeting;
ongoing SEO services;
custom integrations or API development;
bespoke software features or platform modifications; or
continuing consulting, support, development, or optimization beyond the services expressly agreed.
Any service, feature, deliverable, customization, modification, or continuing support not expressly identified in the applicable written scope is excluded.
4. Frontend Website
Where a SiteWorks deployment includes a frontend website, that website is the frontend component of the SiteWorks platform, configured and branded for the Customer.
The inclusion of a frontend website does not convert the deployment into an unlimited bespoke website-development engagement. The Customer receives the SiteWorks frontend functionality and the customizations expressly included in the applicable order.
CMS-controlled fields may allow the Customer to modify designated text, images, labels, content, and other permitted information. CMS access does not include a right to alter platform code, structural templates, backend logic, database architecture, security rules, integrations, or other protected technical components.
5. Platform Development and Product Decisions
SiteWorks is continuously developed as a platform. Ultrabrand may improve, modify, replace, reorganize, add, or remove platform features, workflows, interfaces, integrations, technical architecture, or functionality as reasonably required for product development, security, reliability, compliance, or operational purposes.
Suggestions, feature requests, campaign results, user feedback, or requests for modification do not create an obligation for Ultrabrand to implement a requested change.
Ultrabrand may choose to incorporate a requested improvement into the general SiteWorks product. Such incorporation does not mean that the improvement was an undelivered component of an earlier Customer deployment or that the Customer is entitled to bespoke implementation.
6. Marketing, Advertising and Conversion Performance
Unless expressly contracted in writing, Ultrabrand is not responsible for designing, managing, monitoring, or optimizing advertising campaigns that send traffic to SiteWorks, a SiteWorks frontend, or any Customer website.
Advertising performance depends on factors outside SiteWorks, including campaign strategy, audience selection, targeting, search terms, exclusions, creative assets, messaging, media spend, bidding, traffic quality, landing-page strategy, market conditions, sales follow-up, and other factors.
A Customer or third party independently directing advertising traffic to a SiteWorks page does not create an obligation for Ultrabrand to redesign, modify, or optimize SiteWorks for that campaign.
Ultrabrand does not guarantee any number or rate of visitors, leads, quote requests, conversions, sales, revenue, return on advertising spend, search ranking, or other commercial outcome unless an express written guarantee is included in the applicable agreement.
7. Automations, CRM and Triggered Communications
Where an order includes automations, CRM setup, triggered communications, AI configuration, or similar functionality, the obligation is limited to the functionality and configuration included in the applicable SiteWorks deployment or expressly described in the order.
The existence of such functionality does not imply an obligation to create every automation, CRM process, lead-nurturing sequence, campaign workflow, or communication that the Customer may subsequently require.
Campaign-specific or newly requested automation, CRM, integration, or communication work is additional work unless expressly included in writing.
8. Access, Roles and Administrative Rights
Ultrabrand determines the technical access levels required for the secure operation of SiteWorks.
Customers and authorized users may receive access to SiteWorks functions, member areas, CMS content, CRM records, reporting, or other operational interfaces according to their role and applicable plan or deployment.
Access to SiteWorks does not imply access to:
source code;
development environments;
platform-level administration;
backend code or business logic;
database structure or unrestricted database access;
security rules;
API credentials;
Ultrabrand development tools;
Wix Studio Editor, Velo development access, or equivalent development environments; or
any other technical resource not expressly authorized by Ultrabrand.
Ultrabrand may modify user roles and permissions where reasonably necessary to protect security, intellectual property, data integrity, platform stability, or other customers.
9. Third-Party Agencies and Contractors
The Customer may use its own marketing agencies, consultants, employees, or contractors, subject to these SiteWorks Terms.
Third parties may receive only the access permissions expressly authorized by Ultrabrand. The Customer may not provide, share, transfer, or attempt to obtain development, code, administrative, credential, or platform access beyond the permissions granted.
An agency’s or contractor’s need or preference for a particular page structure, tracking implementation, campaign workflow, integration, or technical modification does not create an obligation for Ultrabrand to provide that modification or grant additional technical access.
The Customer remains responsible for the actions of persons to whom it grants authorized SiteWorks access.
10. Intellectual Property and License
SiteWorks, including its source code, backend and frontend logic, architecture, frameworks, templates, data structures, workflows, automation logic, algorithms, technical methods, reusable components, documentation, and platform developments, is and remains the intellectual property of Ultrabrand and/or its licensors.
Except where expressly assigned in writing, payment for setup, deployment, configuration, customization, or development does not transfer ownership of SiteWorks or its underlying intellectual property.
Subject to payment of applicable fees and compliance with these SiteWorks Terms, the Customer receives a limited, non-exclusive, non-transferable right to use the SiteWorks functionality made available to it for its legitimate internal business purposes for the duration of its authorized access.
The Customer retains ownership of its own brand, original content, customer data, project data, and other Customer materials, subject to the rights reasonably required for Ultrabrand to host, process, display, back up, and operate such materials through SiteWorks.
11. Data and Customer Responsibilities
The Customer is responsible for the accuracy, lawfulness, and appropriateness of information, content, customer records, project information, marketing materials, and other data it enters into or provides for SiteWorks.
The Customer is responsible for ensuring that its own use of SiteWorks, advertising activities, communications, customer interactions, and data collection comply with applicable laws and regulations.
Ultrabrand may implement reasonable technical and organizational measures to protect SiteWorks and Customer data, but no online system can be guaranteed to be completely uninterrupted or secure.
12. Third-Party Platforms and Services
SiteWorks may depend on or integrate with third-party platforms and services, including hosting, mapping, email, CRM, analytics, AI, search, payment, communications, domain, or other providers.
Availability, pricing, quotas, functionality, policies, and technical behavior of third-party services are outside Ultrabrand’s control and may change.
Ultrabrand may modify, limit, replace, or discontinue an integration where reasonably necessary because of third-party changes, security concerns, technical requirements, excessive or abusive usage, cost, legal requirements, or platform development.
Third-party usage charges may be subject to separate limits, fees, or terms where specified in the applicable order or plan.
13. Support, Maintenance and Additional Work
SiteWorks access does not create an unlimited support or development entitlement.
Support, maintenance, monitoring, development, consulting, and response commitments are governed by the Customer’s applicable SiteWorks plan, proposal, subscription, support agreement, or other written arrangement.
Requests outside the applicable scope may be declined by Ultrabrand or treated as additional work. Ultrabrand is under no obligation to accept additional custom development or consulting work.
The correction of a reproducible technical defect in functionality expressly included in an active SiteWorks service is distinct from a request for a new feature, changed workflow, redesigned page, new campaign requirement, new integration, or other enhancement.
14. Fees and Subscriptions
Setup or deployment fees compensate Ultrabrand for the implementation work described in the applicable order. They do not purchase SiteWorks source code or create perpetual rights to future development, maintenance, support, hosting, third-party services, or platform access unless expressly stated.
Recurring SiteWorks access, where applicable, is governed by the subscription, license, service, or commercial terms stated in the applicable order or plan.
Ultrabrand may introduce or revise plans, usage limits, subscription fees, support terms, and charges for future renewals or service periods, subject to applicable agreements and law.
15. Security, Abuse and Platform Protection
The Customer and its users must not attempt to circumvent access controls, extract or reverse engineer protected SiteWorks functionality, obtain unauthorized code or credentials, interfere with platform operation, abuse APIs or third-party services, scrape protected data, or use SiteWorks in a manner that threatens security, stability, cost, or availability.
Ultrabrand may restrict or suspend affected functionality or access where reasonably necessary to investigate or prevent misuse, security threats, unauthorized access, excessive resource consumption, non-payment, or material violation of applicable terms.
16. Completion of Deployment
Unless an applicable order provides a different acceptance procedure, a SiteWorks deployment is considered delivered when the agreed deployment has been configured and made available for production use or launched on the agreed domain or environment.
Subsequent requests, marketing initiatives, changes in Customer strategy, new campaigns, new content requirements, or newly desired functionality do not reopen or extend the original deployment scope.
Any agreed warranty, correction period, support plan, or continuing service remains subject to its own written terms.
17. No Partnership or Marketing Mandate
Providing SiteWorks does not create an agency, partnership, joint venture, fiduciary relationship, advertising mandate, marketing mandate, sales mandate, or business-advisory obligation between Ultrabrand and the Customer.
Any strategic, commercial, marketing, or business advice provided outside an expressly contracted advisory mandate is provided at Ultrabrand’s discretion and does not create an ongoing obligation to provide similar advice in the future.
18. Suspension and Termination
SiteWorks access may be suspended or terminated in accordance with Ultrabrand’s general Terms of Service, the applicable SiteWorks plan or order, and applicable law.
Termination of custom development, consulting, marketing, or other professional services does not necessarily terminate a separate SiteWorks subscription or access arrangement, and termination of SiteWorks access does not create an obligation for Ultrabrand to continue unrelated professional services.
Any post-termination access, data export, transition assistance, or migration service is limited to what is expressly required by the applicable agreement or law.
19. Relationship to Ultrabrand General Terms
Ultrabrand’s general Terms of Service, including provisions concerning payment, intellectual property, interruption of service, third-party tools, security, privacy, limitation of liability, indemnification, governing law, dispute resolution, severability, and other general matters, apply to SiteWorks except where these SiteWorks Terms expressly provide otherwise.
These SiteWorks Terms should be read together with the applicable proposal, order, subscription, or written agreement.
20. Changes to These SiteWorks Terms
Ultrabrand may update these SiteWorks Terms from time to time. The version applicable to a particular order, subscription period, renewal, or continued use will be determined in accordance with Ultrabrand’s general Terms of Service, the applicable agreement, and applicable law.
Material changes will not retroactively redefine the express deliverables of a completed written project order.
